We make no representation that the Site or any material included in the Site is appropriate or available for use in your location.

INDEMNITY

You agree to indemnify, defend, and hold us and all of our agents, employees, information providers, licensors, and licensees, and officers (collectively “Indemnified Parties”), harmless from and against any and all liability and costs (including, without limitation, attorney’s fees and costs), incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms or the foregoing representations, warranties, and covenants. You will cooperate as fully as reasonably required.

RIGHT TO CHANGE TERMS AND CONDITIONS

GENERAL

• Governing Law: These Terms of Use and any non-contractual rights or obligations arising out of or in connection with it shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates.
• Dispute Resolution: Any disputes or Claims arising out of or in connection with these Terms of Use shall be referred to and finally resolved by arbitration under the Arbitration Rules of the DIFC-LCIA Arbitration Centre. The number of arbitrators shall be one. The seat of arbitration shall be Dubai International Financial Centre. The language to be used in the arbitration shall be English.
• Third Party Rights: A person who is not a party to these Terms of Use has no right to enforce any of its terms.
• Relationship of the Parties: Nothing contained in these Terms of Use will be deemed or construed by the parties or any third party to create the relationship of partnership, joint venture, or agency between the parties.
• Further Assurances: The parties will do and execute each necessary act, document, and thing reasonably within its power to implement and give effect to these Terms of Use.
• Assignment: These Terms of Use will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. You agree that you will not assign or transfer these Terms of Use or any of your rights or obligations under these Terms of Use without our prior written consent.
• Entire Agreement: These Terms of Use and the documents referred to herein contain the entire agreement between the parties with respect to the subject matter and supersede all prior agreements, negotiations, and representations.
• Amendment: We reserve the right to modify these Terms of Use at any time. The current version of these Terms of Use will be posted on the Site, and each such change will be effective upon posting or upon the date designated by us as the “effective date”.
• Severability: If any provision of these Terms of Use is determined to be invalid, illegal, or unenforceable, that provision will be severed from these Terms of Use, and the remaining provisions will continue in full force and effect.
